New Delhi,<\/span> the <\/span>22nd July, 2021<\/span><\/span><\/p>\n

G.S.R. 503(E).<\/span>\u2014<\/span>In exercise of the powers confe<\/span>rred by sub<\/span>–<\/span>sections (1) and (3) of section 16, and <\/span>sub<\/span>–<\/span>sections (1) and (2) of section 469 of the Companies Act, 2013 (18 of 2013), the Central Government <\/span>hereby makes the following rules further to amend the Companies (Incorporation) Rules, 2014, namely<\/span>:<\/span>–<\/span> <\/span><\/p>\n

1.<\/span><\/span> <\/span> <\/span> <\/span>(1)<\/span><\/span> <\/span> <\/span>These rules may be called <\/span><\/span>the <\/span><\/span>Companies (Incorporation)<\/span><\/span> <\/span>Fifth<\/span><\/span> <\/span>Amendment Rules, 2021. <\/span><\/span> <\/span> (2)<\/span> They shall come into force from the 1<\/span>st<\/span> September, 2021.<\/span> <\/span><\/p>\n

2. In the Companies (Incorporation) Rules, 2014, a<\/span>fter rule 33, the following rule shall be inserted, namely:<\/span>–<\/span> <\/span><\/p>\n

\u201c33A.<\/span> Allotment of a new name to the existing company under section 16(3) of the Act. <\/span> (1) In case a <\/span>company fails to change its name or new name, as the case may be, in accordance with the dire<\/span>ction issued <\/span>under sub<\/span>–<\/span>section (1) of section 16 of the Act within a period of three months from the date of issue of such <\/span>direction, the letters \u201cORDNC\u201d (which is an abbreviation of the words \u201cOrder of Regional Director Not <\/span>Complied\u201d), the year of passin<\/span>g of the direction, the serial number and the existing Corporate Identity <\/span>Number (CIN) of the company shall become the new name of the company without any further act or deed <\/span>by the company, and the Registrar shall accordingly make entry of the new name in<\/span> the register of <\/span>companies and issue a fresh certificate of incorporation in Form No.INC<\/span>–<\/span>11C:<\/span> <\/span><\/p>\n

Provided that nothing contained in sub<\/span>–<\/span>rule (1) shall apply in case e<\/span>–<\/span>form INC<\/span>–<\/span>24 filed by the company <\/span>
is pending for disposal at the expiry of three months from <\/span> the date of issue of direction by Regional <\/span>
Director, unless the said e<\/span>–<\/span>form is subsequently rejected.<\/span> <\/span><\/p>\n

(2) A company whose name has been changed under sub<\/span>–<\/span>rule (1) shall at once make necessary compliance <\/span>with the provisions of section 12 of the Act and the <\/span> statement, \u201cOrder of Regional Director Not Complied <\/span>(under section 16 of the Companies Act, 2013)\u201d shall be mentioned in brackets below the name of company, <\/span>wherever its name is printed, affixed or engraved:<\/span> <\/span><\/p>\n

Provided that no such statement shall be require<\/span>d to be mentioned in case the company subsequently <\/span>changes its name in accordance with the provisions of section 13 of the Act.\u201d.<\/span> <\/span><\/p>\n

3. In the Annexure, after Form No.INC<\/span>–<\/span>11B, the following form shall be inserted, namely:<\/span>–<\/span> <\/span><\/p>\n
